Credits Policy

1. Introduction and Scope

This Credits Policy ("Policy") governs the issuance, allocation, purchase, use, deduction, expiration, forfeiture, and all other aspects of Platform Credits ("Credits") on the Monerixa platform ("the Platform," "we," "us," or "our"). This Policy forms an integral and inseparable part of the Terms of Service and is incorporated therein by reference.

By connecting a Solana-compatible cryptocurrency wallet ("Wallet") to the Platform, by receiving, purchasing, or using Credits in any manner, or by continuing to use the Platform after this Policy has been made available to you, you acknowledge that you have read, understood, and unconditionally agree to be bound by all provisions of this Policy.

If you do not agree to this Policy in its entirety, you must immediately cease all use of the Platform and refrain from receiving, purchasing, or using Credits. Your acceptance of this Policy is a condition precedent to your continued use of the Platform as a Creator.

This Policy applies to all users of the Platform who hold, receive, purchase, or use Credits, whether in the capacity of a Creator, prospective Creator, or any other capacity. It supersedes all prior oral or written representations, understandings, or agreements regarding Credits, to the extent they conflict with the terms set forth herein.

2. Definitions

Capitalized terms used in this Policy shall have the meanings ascribed to them below. Terms not defined herein shall have the meanings given in the Terms of Service.

  • "Credits" or "Platform Credits" means the internal, non-transferable, non-monetary unit of account maintained by the Platform on a per-Wallet basis, used exclusively to gate the availability of Paywall content for purchase by Buyers, as described in this Policy.
  • "Credit Balance" means the current integer count of Credits associated with a given Wallet address, as recorded in the Platform's authoritative database. The Credit Balance may be positive, zero, or negative (subject to the Credit Floor).
  • "Monthly Allocation" means the periodic grant of free Credits to each Wallet, occurring no more than once per calendar month (UTC), as described in Section 4.
  • "Sale Deduction" means the automatic deduction of Credits from a Creator's Credit Balance upon a successful and verified purchase of the Creator's Paywall content by a Buyer, as described in Section 6.
  • "Credit Floor" means the minimum permissible Credit Balance, currently set at negative five (-5) Credits, as described in Section 7.
  • "Active Status" means the state in which a Creator's Credit Balance is equal to or greater than the Sale Deduction amount (currently 5 Credits), permitting new Buyers to initiate and complete purchases of the Creator's Paywall content.
  • "Blocked Status" or "Unavailable Status" means the state in which a Creator's Credit Balance is less than the Sale Deduction amount, preventing new Buyers from initiating purchases of the Creator's Paywall content, as described in Section 8.
  • "Credit Purchase" means the acquisition of Credits by a Creator through an on-chain USDC transaction to the Platform Wallet, as described in Section 5.
  • "Creation Fee" means the separate, non-refundable USDC payment required to create a Paywall, as governed by Section 8.2 of the Terms of Service and distinct from Credits.
  • "Calendar Month" means the period from 00:00:00 UTC on the first day of a given month to 23:59:59.999 UTC on the last day of that same month, as determined by the Coordinated Universal Time (UTC) standard.
  • "USDC" means USD Coin on the Solana blockchain, a stablecoin issued by Circle Internet Financial, LLC.
  • "Platform Wallet" means the Solana Wallet address designated by the Platform to receive Creation Fees and Credit Purchase payments.

3. Nature of Credits

3.1 Credits Are Not Currency, Property, or Securities

Credits are an internal, non-monetary unit of account that exist solely within the Platform's database. Credits do not constitute currency (digital, virtual, fiat, or otherwise), money, stored value, a deposit, a prepaid instrument, a security, a commodity, an investment contract, a financial instrument, a negotiable instrument, or property of any kind under any applicable law or regulation. Credits have no intrinsic value, no cash value, no market value, and no exchange value outside the Platform.

3.2 Non-Transferable

Credits are bound to the specific Wallet address to which they were allocated or purchased. Credits may not be transferred, assigned, delegated, gifted, sold, bartered, exchanged, donated, hypothecated, pledged, or otherwise conveyed to any other Wallet address, person, entity, or third party, whether directly or indirectly, whether on-chain or off-chain, whether with or without consideration. Any attempt to transfer Credits in violation of this provision shall be void and of no effect.

3.3 Non-Redeemable

Credits cannot be redeemed, converted, exchanged, cashed out, or refunded for USDC, any other cryptocurrency, fiat currency, goods, services, or any other form of value or consideration, except as expressly provided in this Policy. The USDC paid for Credit Purchases is non-refundable as set forth in Section 5.7.

3.4 No Ownership Interest

You do not acquire any ownership interest, proprietary right, intellectual property right, or any other legal or equitable interest in or to Credits. Credits represent a limited, revocable, non-exclusive license to use the Platform's paywall publication features, subject to the terms and conditions of this Policy and the Terms of Service.

3.5 Platform Discretion

The Platform retains absolute and sole discretion over all aspects of the Credit system, including but not limited to: the number of free Credits allocated per month, the number of Credits deducted per sale, the Credit Floor, the pricing of Credit Purchases, the rate tiers, the minimum and maximum purchase amounts, the conditions under which Credits may be forfeited, and any other parameter of the Credit system. The Platform may modify any or all of these parameters at any time, with or without prior notice, subject to Section 15 of this Policy.

4. Monthly Credit Allocation

4.1 Entitlement

Each Wallet that interacts with the Platform in a capacity that requires Credits (including but not limited to creating Paywalls, having existing Paywalls purchased by Buyers, checking credit balance, or purchasing Credits) is eligible to receive a Monthly Allocation of seventy-five (75) free Credits per Calendar Month, subject to the conditions and limitations set forth in this Section 4.

4.2 Allocation Timing (Lazy Evaluation)

The Monthly Allocation is not issued automatically at the start of each Calendar Month. Instead, it is evaluated and, if applicable, granted on a "lazy" basis — that is, it is triggered when the Wallet first performs a qualifying interaction with the Platform during a given Calendar Month. Qualifying interactions include, but are not limited to: uploading content, having content purchased, requesting a credit balance, or initiating a Credit Purchase. The Platform is under no obligation to proactively issue Monthly Allocations to Wallets that do not interact with the Platform during a given Calendar Month.

4.3 SET-Not-ADD Logic

The Monthly Allocation operates on a "set, not add" basis. Specifically:

  • If the Wallet's Credit Balance at the time of evaluation is less than the Monthly Allocation amount (75 Credits), the Credit Balance is set to 75 Credits. This includes restoring negative Credit Balances to 75 Credits.
  • If the Wallet's Credit Balance at the time of evaluation is equal to or greater than the Monthly Allocation amount (75 Credits), no Credits are added and the Credit Balance remains unchanged. This preserves purchased Credits and any accumulation above the Monthly Allocation threshold.

Illustrative examples: A balance of -3 is set to 75 (delta of +78). A balance of 30 is set to 75 (delta of +45). A balance of 100 remains 100 (delta of 0). A balance of 75 remains 75 (delta of 0).

4.4 Idempotency

The Monthly Allocation is strictly idempotent on a per-Wallet, per-Calendar-Month basis. Each Wallet may receive at most one Monthly Allocation per Calendar Month, regardless of how many qualifying interactions occur during that month. The Platform uses a database-level atomic mutex (primary key constraint on the combination of Wallet address and allocation month) to enforce this guarantee. Duplicate allocation attempts are silently ignored.

4.5 No Accumulation or Rollover

Monthly Allocations do not accumulate, roll over, or compound across Calendar Months. If a Wallet does not interact with the Platform during a given Calendar Month, no allocation is made for that month, and the unclaimed allocation is permanently forfeited. There is no mechanism to retroactively claim, recover, or be compensated for unclaimed Monthly Allocations from prior Calendar Months. Each Calendar Month's allocation eligibility is independent and non-cumulative.

4.6 No Guaranteed Continuation

The Monthly Allocation is provided at the Platform's sole discretion as a promotional benefit. The Platform reserves the right to modify the Monthly Allocation amount, change the allocation frequency, impose additional eligibility conditions, or discontinue the Monthly Allocation program entirely, at any time, with or without prior notice. No representation or guarantee is made that Monthly Allocations will continue to be offered at any particular amount, frequency, or duration. The current allocation of 75 Credits per Calendar Month is subject to change.

5. Credit Purchases

5.1 Availability

Creators may purchase additional Credits by sending USDC on the Solana blockchain to the Platform Wallet. Credit Purchases are available to any Wallet that is not subject to a ban or other enforcement action. The Platform reserves the right to restrict or suspend Credit Purchases for any Wallet at any time, for any reason or for no reason.

5.2 Fixed Packages

The Platform offers the following fixed Credit packages at special promotional pricing:

  • Standard Package: 5,000 Credits for $5.00 USDC (effective rate: $1.00 per 1,000 Credits).
  • Popular Package: 12,000 Credits for $10.00 USDC (effective rate: approximately $0.833 per 1,000 Credits).

Fixed packages are offered at the stated prices as of the "Last updated" date of this Policy. Prices and package compositions are subject to change at the Platform's sole discretion. When a Credit Purchase amount exactly matches a fixed package amount, the fixed package pricing takes precedence over the rate-based pricing described in Section 5.3.

5.3 Rate-Based Custom Pricing

For Credit Purchase amounts that do not exactly match a fixed package, the following volume-based rate tiers apply. The rate is determined by the total number of Credits in the single purchase transaction and applies to the entire purchase amount (volume pricing, not blended or marginal pricing):

  • Standard Rate (1 to 12,000 Credits): $1.00 per 1,000 Credits.
  • Bulk Rate (12,001 to 25,000 Credits): $0.83 per 1,000 Credits.
  • Wholesale Rate (25,001+ Credits): $0.75 per 1,000 Credits.

Illustrative examples: 1,000 Credits = $1.00 USDC. 10,000 Credits = $10.00 USDC. 12,001 Credits = $9.96 USDC. 25,000 Credits = $20.75 USDC. 30,000 Credits = $22.50 USDC. 100,000 Credits = $75.00 USDC.

The minimum custom purchase amount is one (1) Credit. There is no maximum, though the Platform reserves the right to impose purchase limits for anti-abuse, anti-money-laundering, or other risk-management purposes.

5.4 USDC Precision

All Credit Purchase prices are computed using integer-safe arithmetic in micro-USDC (six decimal places of precision). The on-chain USDC transaction must transfer the exact USDC amount as computed by the Platform. Transactions that transfer more or less than the exact required amount will fail verification and the Credits will not be granted. There is no rounding tolerance; exact-match verification is enforced.

5.5 On-Chain Verification

Every Credit Purchase requires an on-chain USDC transfer on the Solana blockchain, verified by the Platform's backend before Credits are issued. The Platform verifies:

  • The transaction sender matches the Wallet address requesting the purchase.
  • The Platform Wallet received exactly the required USDC amount (exact match, not greater-than-or-equal).
  • The USDC token mint is the canonical USDC mint on the applicable Solana network.
  • The transaction contains exactly one USDC transfer to the Platform Wallet (multi-transfer transactions are rejected to prevent ambiguity).

If any of these verification conditions are not met, the Credit Purchase is rejected and no Credits are issued. The USDC transferred in a failed verification is not automatically returned by the Platform; it remains on the Solana blockchain in accordance with the rules of the Solana network. The Platform assumes no liability for USDC transferred in transactions that fail verification.

5.6 Idempotency and Deduplication

Each on-chain transaction signature may be used for at most one Credit Purchase. If the same transaction signature is submitted more than once, subsequent submissions will return the result of the original purchase (idempotent success) without granting additional Credits. This prevents double-crediting from duplicate submissions, network retries, or client-side errors.

5.7 Non-Refundable

ALL CREDIT PURCHASES ARE FINAL, NON-REFUNDABLE, NON-REVERSIBLE, AND NON-EXCHANGEABLE. ONCE USDC HAS BEEN TRANSFERRED TO THE PLATFORM WALLET AND CREDITS HAVE BEEN ISSUED, NO REFUND, CREDIT, REBATE, OFFSET, OR COMPENSATION OF ANY KIND WILL BE PROVIDED, REGARDLESS OF THE REASON, INCLUDING BUT NOT LIMITED TO: CHANGE OF MIND, UNUSED CREDITS, ACCOUNT SUSPENSION OR BAN, PLATFORM MODIFICATION OR DISCONTINUATION, CHANGE IN CREDIT PRICING, CHANGE IN CREDIT SYSTEM PARAMETERS, OR ANY OTHER CIRCUMSTANCE.

By completing a Credit Purchase, you acknowledge and agree that you are waiving any and all rights to a refund, chargeback, or reversal of the transaction. The on-chain nature of the payment means the Platform has no technical ability to reverse a completed Solana transaction, even if it wished to do so. You are solely responsible for ensuring that you intend to complete the purchase before signing and submitting the transaction.

6. Credit Deductions

6.1 Sale Deduction

Each time a Buyer successfully completes a verified on-chain payment to a Creator for access to the Creator's Paywall content, five (5) Credits are deducted from the Creator's Credit Balance ("Sale Deduction"). The Sale Deduction occurs automatically, atomically, and without further action or consent by the Creator. The current Sale Deduction amount is five (5) Credits per sale, subject to change at the Platform's discretion.

6.2 Deduction Timing

The Sale Deduction is processed after the Buyer's on-chain payment has been verified and the Buyer's access has been granted. The Platform employs a two-transaction architecture: the first transaction commits the Buyer's access (which is the priority), and the second transaction (fired asynchronously after the response is sent to the Buyer) performs the Sale Deduction. This design ensures that:

  • Buyers who complete valid on-chain payments are always granted access, regardless of the outcome of the credit deduction.
  • A failure in the credit deduction process never prevents a paying Buyer from receiving access to content they have paid for.
  • The Creator bears the risk of credit shortfalls, not the Buyer.

6.3 Atomic Enforcement

Sale Deductions are enforced atomically at the database level using a single SQL statement with a conditional clause that checks the Credit Floor (Section 7) as part of the same atomic operation. There is no separate read-then-write step. This prevents race conditions in which two concurrent purchases of the same Creator's content could result in a Credit Balance below the Credit Floor.

6.4 Floor Protection

If the Sale Deduction would cause the Credit Balance to fall below the Credit Floor (currently -5), the deduction is not executed. In this case, the Buyer still retains access (since access was already committed in the first transaction), but no deduction occurs and the event is logged by the Platform for monitoring purposes. See Section 7 for full details on the Credit Floor.

6.5 No Other Deductions

As of the effective date of this Policy, the only circumstance under which Credits are deducted is the Sale Deduction described above. Credits are not deducted for creating Paywalls (which require a separate Creation Fee), for editing content, for downloads by existing Buyers, or for any other Platform operation. The Platform reserves the right to introduce additional deduction events in the future, subject to Section 15.

7. Credit Floor and Negative Balances

7.1 Credit Floor

The Credit Floor is the absolute minimum Credit Balance that the Platform's database will permit. It is currently set at negative five (-5) Credits. The Credit Floor is enforced at the database level within the atomic Sale Deduction operation. No operation, whether automated or manual, will reduce a Credit Balance below the Credit Floor.

7.2 How Negative Balances Arise

A negative Credit Balance can arise in the following scenario: a Creator has a Credit Balance of less than 5 but greater than or equal to 0 (e.g., balance = 3). A Buyer initiates a purchase while the Creator appears active (the initiate check is advisory, not final). The payment is completed on-chain and verified. The Sale Deduction reduces the Credit Balance below zero (e.g., 3 - 5 = -2). This is by design; the system prioritizes Buyer access over credit enforcement.

In the extreme concurrent case: two Buyers both pass the initiate check at balance = 5. The first sale deducts to 0. The second sale deducts to -5. Any further concurrent deductions are blocked by the Credit Floor. The worst-case Credit Balance is exactly -5.

7.3 Negative Balance Does Not Constitute Debt

A negative Credit Balance does not represent a financial debt, obligation, or liability owed by you to the Platform. It does not accrue interest, penalties, fees, or any other charges. A negative Credit Balance simply means that the Creator's Paywalls are in Blocked Status (Section 8) until the balance is restored to Active Status, either through a Monthly Allocation (Section 4) or a Credit Purchase (Section 5).

7.4 Resolution of Negative Balances

Negative Credit Balances are automatically resolved by the next Monthly Allocation, which sets the balance to 75 Credits (Section 4.3), or by a Credit Purchase that increases the balance above the Active Status threshold. The Platform does not send notifications, reminders, or collection notices regarding negative Credit Balances. It is the Creator's responsibility to monitor their Credit Balance and take action if they wish to restore Active Status before the next Monthly Allocation.

8. Creator Status and Access Gating

8.1 Active Status

A Creator is in Active Status when their Credit Balance is equal to or greater than the Sale Deduction amount (currently 5 Credits). While in Active Status, the Creator's Paywalls are fully operational: new Buyers may initiate and complete purchases, the Creator may create new Paywalls (subject to Creation Fee payment), and the Creator may edit existing Paywall content.

8.2 Blocked / Unavailable Status

A Creator is in Blocked Status when their Credit Balance is less than the Sale Deduction amount (currently less than 5 Credits). While in Blocked Status:

  • New purchases are blocked. When a Buyer attempts to initiate a purchase of a Blocked Creator's Paywall, the Platform returns an HTTP 402 (Payment Required) error. The Buyer is shown a message indicating that the Paywall is temporarily unavailable.
  • New Paywall creation is blocked. The Creator cannot upload or publish new Paywalls.
  • Content edits are blocked. The Creator cannot modify existing Paywall content, titles, descriptions, or prices.

8.3 Existing Buyer Access Unaffected

Blocked Status affects only new purchases. Buyers who have already unlocked and paid for a Creator's Paywall content retain full access to that content, including the ability to download files, view text, and access links, for the remainder of the Access Period. The Blocked Status of a Creator never retroactively revokes, limits, or degrades access that has already been granted to existing Buyers.

8.4 Status Is Implicit and Real-Time

Creator status (Active or Blocked) is computed in real-time from the Credit Balance at the moment of each relevant API call. There is no separate "status" field or toggle. The status is a pure function of the Credit Balance relative to the Sale Deduction threshold. This ensures consistency across all Platform surfaces (API, frontend, public profile, content info endpoint).

8.5 Restoration of Active Status

A Creator in Blocked Status may restore Active Status by any means that increases their Credit Balance to 5 or above, including: (a) waiting for the next Monthly Allocation (which sets the balance to 75 if it is currently below 75), or (b) purchasing Credits. Restoration is immediate upon the Credit Balance reaching the threshold; there is no delay, approval process, or manual review.

9. Credit History and Audit Trail

9.1 Record Keeping

The Platform maintains a complete, immutable audit trail of all Credit mutations in the credit_history table. Each entry records the Wallet address, the type of mutation (earn or spend), the integer amount, the reason for the mutation, the associated content ID (if applicable), the associated transaction signature (if applicable), the resulting balance after the mutation, and the timestamp. This record is the authoritative source of truth for all Credit-related activity.

9.2 Mutation Types and Reasons

The following Credit mutation reasons are recorded:

  • monthly_allocation (type: earn) — Credits granted via Monthly Allocation. Amount reflects the delta (difference between old and new balance). Recorded only when delta > 0.
  • credit_purchase (type: earn) — Credits granted via on-chain Credit Purchase. Amount equals the number of Credits purchased. Includes the transaction signature for cross-referencing with on-chain data.
  • sale_deduction (type: spend) — Credits deducted upon a successful Buyer purchase. Amount equals the Sale Deduction amount (currently 5). Includes the content ID for which the sale occurred.

9.3 Access to History

Creators may view their Credit history through the Platform's dashboard. The credit history endpoint requires Wallet signature authentication to prevent unauthorized access to another Wallet's financial activity. The Platform does not provide credit history data to third parties except as required by applicable law, regulation, or valid legal process.

9.4 Accuracy and Disputes

The Platform endeavors to maintain accurate Credit records. If you believe there is an error in your Credit Balance or credit history, you may contact support@monerixa.comwith the relevant details (Wallet address, approximate date and time, expected versus actual balance, and any relevant transaction signatures). The Platform will investigate in good faith and, if an error is confirmed, make reasonable efforts to correct it. However, the Platform's database records are presumed accurate absent clear and convincing evidence to the contrary.

10. Relationship Between Credits and Creation Fees

10.1 Separate Instruments

Credits and Creation Fees are entirely separate instruments with distinct purposes, payment mechanisms, and policies. Credits gate the availability of a Creator's existing Paywalls for purchase by Buyers. Creation Fees are one-time USDC payments required to publish a new Paywall. A Creator must have both sufficient Credits (Active Status) and pay the applicable Creation Fee to create and maintain an operational Paywall.

10.2 No Cross-Subsidy

Credits cannot be used to pay Creation Fees. Creation Fee payments do not grant Credits. There is no mechanism to convert, offset, or apply one against the other. Each operates independently within the Platform's financial architecture.

10.3 Both Are Non-Refundable

Both Credits (once purchased) and Creation Fees (once paid) are non-refundable under all circumstances, as described in their respective policies. This non-refundability is a fundamental aspect of the Platform's economic model and is not subject to exception.

11. Forfeiture of Credits

11.1 Grounds for Forfeiture

Credits may be forfeited (reduced to zero or any other amount determined by the Platform) without compensation, refund, or prior notice, under any of the following circumstances:

  • The Wallet is banned from the Platform for a violation of the Terms of Service, Content Policy, or any other Platform policy.
  • The Wallet is associated with fraudulent, abusive, or manipulative behavior, including but not limited to: self-purchasing schemes to artificially inflate sales metrics, manipulation of the Credit system through technical exploits, use of multiple Wallets to circumvent enforcement actions, or coordinated abuse.
  • The Wallet is subject to sanctions, legal hold, or court order requiring the Platform to restrict access.
  • The Platform discontinues the Credit system entirely (Section 14).

11.2 No Compensation

In the event of forfeiture, you shall have no claim, right, or entitlement to any refund, reimbursement, compensation, credit, set-off, or any other form of recovery for forfeited Credits, regardless of whether the forfeited Credits were obtained through Monthly Allocations, Credit Purchases, or any other means. This applies regardless of the USDC amount, if any, originally paid for the forfeited Credits.

11.3 Forfeiture Is Non-Reviewable

Forfeiture decisions made in connection with a ban or enforcement action are subject to the dispute and appeal procedures set forth in the Terms of Service. Forfeiture decisions made in connection with Platform discontinuation (Section 14) or system-wide parameter changes (Section 15) are final and non-reviewable.

12. Prohibited Conduct Relating to Credits

In addition to the prohibited conduct set forth in the Terms of Service, the following activities are specifically prohibited with respect to Credits:

  • Attempting to purchase, sell, trade, barter, auction, or exchange Credits with any third party, whether for USDC, other cryptocurrency, fiat currency, goods, services, or any other consideration.
  • Attempting to transfer Credits between Wallets, whether directly, indirectly, or through any intermediary mechanism.
  • Exploiting, reverse-engineering, or manipulating the Credit system, including the Monthly Allocation algorithm, the Sale Deduction mechanism, the Credit Floor enforcement, or the Credit Purchase verification process.
  • Using automated tools, bots, scripts, or any other programmatic means to artificially generate, inflate, or manipulate Credit Balances or credit history records.
  • Submitting fraudulent, forged, or manipulated transaction signatures to the Credit Purchase endpoint.
  • Reusing, replaying, or double-spending transaction signatures that have already been processed.
  • Creating self-purchase loops (buying your own Paywall content to generate sale events) for the purpose of manipulating credit history, leaderboard rankings, or any other metric.
  • Coordinating with other Wallets to circumvent credit checks, rate limits, or access restrictions.
  • Misrepresenting the nature, value, or purpose of Credits to any third party.
  • Any other conduct that the Platform, in its sole and reasonable discretion, determines to be abusive, fraudulent, or contrary to the intended purpose of the Credit system.

13. Tax Implications

You are solely and exclusively responsible for determining, calculating, reporting, and remitting any and all taxes, duties, levies, assessments, or governmental charges of any kind that may arise from or relate to your receipt, purchase, use, or forfeiture of Credits, including but not limited to income tax, capital gains tax, value-added tax (VAT), goods and services tax (GST), sales tax, use tax, withholding tax, and any other tax imposed by any jurisdiction.

The Platform does not provide tax advice, tax reporting, tax documentation (including 1099 forms, W-2 forms, VAT invoices, or any equivalent), or any other tax-related service. The Platform does not withhold, collect, or remit taxes on your behalf. You should consult a qualified tax professional in your jurisdiction to understand your obligations with respect to Credits and Credit Purchases.

The treatment of Credits for tax purposes may vary significantly depending on your jurisdiction, residency, citizenship, and individual circumstances. The Platform makes no representation or warranty regarding the tax treatment of Credits in any jurisdiction.

14. Modification or Discontinuation of the Credit System

14.1 Right to Modify or Discontinue

The Platform reserves the absolute and unconditional right to modify, suspend, or permanently discontinue the Credit system, in whole or in part, at any time, for any reason or for no reason, with or without prior notice. This includes the right to: change the Monthly Allocation amount or frequency; change the Sale Deduction amount; change Credit Purchase pricing, packages, or rate tiers; change the Credit Floor; change the Active/Blocked Status thresholds; introduce new Credit mutation types; remove existing Credit mutation types; or replace the Credit system entirely with a different mechanism.

14.2 Effect of Discontinuation

In the event that the Credit system is permanently discontinued:

  • All outstanding Credits in all Wallets are forfeited without compensation.
  • No refunds, rebates, or credits of any kind will be issued for purchased Credits that were unused at the time of discontinuation.
  • The Platform may, at its sole discretion, implement a successor mechanism, transition period, or alternative arrangement, but is under no obligation to do so.
  • Existing Buyer access to previously purchased Paywall content is unaffected by the discontinuation of the Credit system.

14.3 Notice

While the Platform is not legally required to provide advance notice of changes to the Credit system, we will make commercially reasonable efforts to provide at least thirty (30) days' notice before any material adverse change that would affect existing purchased Credit Balances. Notice may be provided through any of the following means: updating this Policy, posting an announcement on the Platform, or any other method the Platform deems appropriate. Your continued use of the Platform after such notice constitutes acceptance of the modified terms.

15. Changes to This Policy

We reserve the right to modify, amend, or replace this Policy at any time at our sole discretion. Material changes will be indicated by updating the "Last updated" date at the top of this page. We may, but are not required to, provide additional notice of material changes through the Platform interface.

Your continued use of the Platform following the posting of revised terms constitutes your binding acceptance of such revised terms. If you do not agree to the revised Policy, your sole remedy is to discontinue your use of the Platform and refrain from purchasing additional Credits. Credits purchased prior to a Policy change remain subject to the Policy in effect at the time of purchase, except with respect to system-wide parameter changes (such as changes to the Sale Deduction amount, Monthly Allocation amount, or Credit Floor) which apply prospectively to all Credits regardless of when they were acquired.

It is your sole responsibility to review this Policy periodically for changes. Failure to review this Policy does not constitute grounds for non-compliance or for a claim of ignorance of its terms.

16. Disclaimers

THE CREDIT SYSTEM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THE PLATFORM MAKES NO WARRANTY OR REPRESENTATION THAT THE CREDIT SYSTEM WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF DEFECTS. THE PLATFORM DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WITH RESPECT TO THE CREDIT SYSTEM.

Without limiting the generality of the foregoing, the Platform does not warrant that: (a) Credit Balances will always be accurately reflected in real time; (b) Monthly Allocations will always be processed without delay; (c) Credit Purchases will always be verified without error; (d) the Credit system will be available at all times; or (e) any specific Credit Balance will be maintained for any particular duration. Technical issues, database errors, network failures, or other unforeseen circumstances may temporarily affect Credit Balances. The Platform will use commercially reasonable efforts to investigate and resolve such issues.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MONERIXA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO THE CREDIT SYSTEM, INCLUDING BUT NOT LIMITED TO: LOSS OF CREDITS, INACCURATE CREDIT BALANCES, DELAYED OR FAILED MONTHLY ALLOCATIONS, FAILED CREDIT PURCHASES, INCORRECT SALE DEDUCTIONS, BLOCKED STATUS CAUSING LOST SALES, FORFEITURE OF CREDITS, OR DISCONTINUATION OF THE CREDIT SYSTEM.

THE PLATFORM'S TOTAL AGGREGATE LIABILITY WITH RESPECT TO THE CREDIT SYSTEM SHALL NOT EXCEED THE TOTAL AMOUNT OF USDC ACTUALLY PAID BY YOUR WALLET FOR CREDIT PURCHASES IN THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM, OR TEN US DOLLARS ($10), WHICHEVER IS GREATER.

This limitation of liability applies regardless of the legal theory upon which the claim is based, including breach of contract, tort (including negligence), strict liability, or any other legal or equitable theory, and regardless of whether the Platform has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the Platform's liability shall be limited to the maximum extent permitted by applicable law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Monerixa, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of the Credit system; (b) your purchase of Credits; (c) your violation of this Policy; (d) any dispute between you and a Buyer regarding the availability of your Paywalls due to Credit Balance status; (e) any tax obligations arising from your receipt, purchase, use, or forfeiture of Credits; or (f) any misrepresentation by you regarding the nature, value, or purpose of Credits to any third party.

19. Governing Law and Dispute Resolution

This Policy shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to this Policy or the Credit system shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India, and shall be resolved in accordance with the dispute resolution procedures set forth in Section 15 of the Terms of Service, including the binding arbitration under the Arbitration and Conciliation Act, 1996 of India, and class action waiver provisions contained therein.

The arbitrator shall have exclusive jurisdiction to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Policy, including any claim that all or any part of this Policy is void or voidable.

20. Severability

If any provision of this Policy is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent to the maximum extent possible. If such modification is not possible, the provision shall be severed, and the remaining provisions of this Policy shall continue in full force and effect. The invalidity or unenforceability of any provision in any particular jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction.

21. Entire Agreement

This Policy, together with the Terms of Service, Privacy Policy, Content Policy, and DMCA Policy, constitutes the entire agreement between you and Monerixa with respect to the Credit system and supersedes all prior or contemporaneous communications, proposals, agreements, and understandings, whether oral or written, between you and Monerixa regarding Credits. No waiver, modification, or amendment of this Policy shall be effective unless made in writing and signed by an authorized representative of Monerixa, or published as an update to this Policy page.
