Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using Monerixa ("the Platform," "we," "us," or "our"), whether as a visitor, creator, buyer, or in any other capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, Content Policy, Refund Policy, and DMCA Policy, each of which is incorporated herein by reference.

If you do not agree to all of these Terms, you must immediately cease all use of the Platform. Your continued access to or use of the Platform following the posting of any changes to these Terms constitutes your binding acceptance of such changes.

These Terms constitute a legally binding agreement between you and Monerixa. You represent and warrant that you have the legal capacity and authority to enter into these Terms.

2. Definitions

  • "Platform" means the Monerixa website, web application, APIs, backend services, and all associated infrastructure operated by Monerixa.
  • "Non-Custodial" means that the Platform does not hold, control, custody, escrow, or take possession of any user funds at any time. All USDC remains under the control of the respective wallet owner until a transaction is signed and broadcast by the user.
  • "Peer-to-Peer Transaction" means a direct on-chain transfer of USDC from one user's wallet to another's, without any intermediary taking custody or possession of the funds. The Platform may prepare unsigned transaction payloads or transaction-request data used by a user's Wallet, but the Platform does not hold, sign, broadcast, or take custody of user funds.
  • "Creator" means any user who uploads, publishes, or distributes content through the Platform.
  • "Buyer" means any user who purchases access to content through the Platform.
  • "Content" means any files, text, links, metadata (including titles and descriptions), and associated materials uploaded to or distributed through the Platform.
  • "Wallet" means a Solana-compatible cryptocurrency wallet used to interact with the Platform, identified by its public key address. Your Wallet is your sole identity on the Platform — there are no usernames, email addresses, or passwords.
  • "Paywall" means a Content item listed on the Platform with a price set by a Creator, accessible to Buyers upon payment.
  • "USDC" means USD Coin, a stablecoin pegged to the United States Dollar, on the Solana blockchain.
  • "Transaction" means any on-chain transfer of USDC on the Solana blockchain. A Transaction may be prepared from data supplied by the Platform's payment interface or transaction-request endpoints, but it is signed exclusively by the user's own Wallet and broadcast to the Solana network by the user's Wallet provider. The Platform does not sign, broadcast, or take custody of Transactions or user funds.
  • "Creation Fee" means the non-refundable USDC payment required from Creators when uploading Content, paid directly to the Platform Wallet as consideration for infrastructure, anti-spam, and storage services.
  • "Platform Wallet" means the Solana Wallet address designated by the Platform to receive the 5% per-sale platform fee, Creation Fees, and Credit purchase payments.
  • "Retention Period" means the period for which a Paywall remains available on the Platform before inactivity-based removal, as determined by the Platform's global retention rules or a plan-based retention period stamped at upload.
  • "TDS" means Tax Deducted at Source under the Income Tax Act, 1961 of India.

3. Platform Role

3.1 Technology Platform Only

Monerixa is a non-custodial content access platform. It is a technology platform only. Monerixa provides infrastructure for content hosting, transaction-request generation, on-chain transaction verification, access control, and content delivery. Monerixa does not act as a custodian of user funds, escrow service, payment processor, money services business, financial institution, or financial intermediary taking possession of funds.

3.2 Peer-to-Peer Payments

All payments on the Platform are Peer-to-Peer Transactions executed by users directly on the Solana blockchain. Monerixa may supply transaction-request data, unsigned transaction payloads, pricing data, and memo-binding information used in those payment flows, but Monerixa does not hold, custody, escrow, sign, or broadcast user funds or signed Transactions. Monerixa verifies qualifying on-chain transactions to grant access to digital content.

3.3 Client-Side Transaction Construction

Users connect their own blockchain Wallets to interact with the Platform. Depending on the flow, the Platform may prepare an unsigned transaction or provide a transaction-request URL containing payment instructions, but the user's Wallet is solely responsible for presenting, signing, and broadcasting the Transaction. By using the Platform, you acknowledge that all Transactions are initiated and authorized by you through your own Wallet.

3.4 Transaction Finality

Monerixa does not control, reverse, or modify blockchain Transactions. All payments are final and irreversible once confirmed on the Solana blockchain. Users are solely responsible for ensuring the correctness of all Transaction details, including the recipient wallet address and payment amount, before signing and submitting a Transaction.

3.5 Transactions Created Outside the Platform

The Platform's payment verification and access recovery systems rely on a cryptographic Memo instruction embedded in each Transaction at the time of payment. This Memo binds the Transaction to a specific piece of Content and a specific Payment Quote issued by the Platform. Transactions that were not created through the Platform's official payment interface — including direct wallet-to-wallet transfers, transfers initiated through third-party tools, or any payment not initiated via monerixa.com — will not contain this Memo binding and cannot be verified, attributed, or recovered by the Platform. Such payments are not eligible for access recovery, refund, credit, or any other remedy. The Platform is not responsible for USDC sent to a Creator's wallet through any means other than the Platform's payment flow.

3.6 Revenue Model

The Platform charges a flat 5% platform fee on each sale. Every Buyer's payment is split on-chain in a single Transaction: 95% is transferred directly to the Creator's Wallet and 5% to the Platform Wallet. The Platform's revenue sources are this per-sale fee and Creation Fees. No separate deduction or payout queue applies — the split settles atomically at the point of sale.

3.7 As Available

The Platform is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. The Platform does not guarantee uninterrupted access, accuracy, or reliability.

4. Eligibility

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction (whichever is greater), to access or use the Platform. Users in India must be of legal majority age as defined under the Indian Majority Act, 1875, and must comply with the Information Technology Act, 2000 and any applicable rules thereunder. By connecting a Wallet to the Platform, you represent and warrant that:

  • You meet the minimum age requirement stated above.
  • You have the full legal capacity to enter into a binding agreement.
  • Your use of the Platform does not violate any applicable law, regulation, or order in your jurisdiction.
  • You are not located in, under the control of, or a national or resident of any country subject to United Nations, Indian, or other applicable sanctions or embargoes.
  • You have not been previously banned or removed from the Platform.

5. Wallet Authentication and Security

The Platform does not create traditional accounts. Your Solana Wallet address serves as your sole identifier and authentication credential. There are no usernames, emails, or passwords. By connecting a Wallet, you acknowledge and agree that:

  • You are solely responsible for the security of your Wallet, including all private keys, seed phrases, recovery phrases, and any associated hardware devices.
  • The Platform will never request your private keys or seed phrases. Any such request is fraudulent and should be ignored.
  • All actions taken using your Wallet address on the Platform are attributed to you and are your sole responsibility, including any Transactions signed by your Wallet.
  • The Platform cannot recover lost or stolen Wallets, reverse Transactions, or restore access to Content if you lose control of your Wallet.
  • You must not connect a Wallet that you do not own or control, or impersonate another Wallet holder.
  • Wallet signatures requested by the Platform for authentication, uploads, and downloads are message signatures only — they do not authorize fund transfers and incur no gas fees.

6. Payments and Fees

6.1 Payment Architecture

When a Buyer purchases content, the Platform provides payment instructions or an unsigned transaction payload that is presented to and signed in the Buyer's Wallet. The resulting on-chain Transaction splits payment in a single Transaction — 95% to the Creator's Wallet and the 5% platform fee to the Platform Wallet — without the Platform ever custodying or holding the funds. The Platform reads the resulting on-chain record to verify and grant access.

6.2 Sales Commission

The Platform charges a flat 5% commission on each sale, deducted on-chain as part of the same Transaction so the Creator receives 95% directly to their Wallet. This rate may be changed with prior notice; any change applies only to future Transactions.

6.3 Creation Fees

Each wallet has a cumulative free file-storage allowance (250 MB on the free tier, 5 GB on Creator, 25 GB on Pro). Text and link content is always free to publish, and file uploads are free while the wallet's total stored content remains under its allowance. When an upload would take a wallet over its allowance, a non-refundable USDC Creation Fee is paid on-chain to the Platform Wallet, by file size:

  • Files up to 25 MB: $0.02 USDC
  • Files up to 50 MB: $0.05 USDC
  • Files up to 100 MB: $0.10 USDC
  • Files up to 250 MB: $0.25 USDC
  • Files up to 500 MB: $0.50 USDC
  • Files up to 1 GB: $1.00 USDC
  • Files up to 2 GB: $2.00 USDC
  • Files up to 5 GB: $5.00 USDC

Per-file upload size is limited by plan: up to 250 MB on the free tier, 1 GB on Creator, and 5 GB on Pro. Files above 250 MB therefore require an active Creator or Pro plan. Active paid-plan holders receive a 25% discount on these fees. Creation Fees are non-refundable regardless of paywall performance, content removal, moderation action, or later inactivity-based removal. See the Refund Policy for full details.

6.4 Network Fees

Solana network transaction fees (typically under $0.001) are paid by the user directly to the Solana network. The Platform does not add any markup to network fees.

6.5 Currency

All prices, payments, Creation Fees, and Credit purchases on the Platform are denominated and settled in USDC on the Solana blockchain. The Platform does not accept, process, or support any other payment method. You are responsible for acquiring USDC through your own means prior to using the Platform.

6.6 Taxes

You are solely and exclusively responsible for determining, calculating, reporting, and remitting any and all taxes applicable to your use of the Platform, including but not limited to income tax, capital gains tax, Goods and Services Tax (GST), Tax Deducted at Source (TDS), value-added tax (VAT), and any other taxes imposed by your jurisdiction.

Monerixa is designed as a non-custodial platform in which buyer-to-creator payments occur as direct on-chain Peer-to-Peer Transactions and Monerixa does not hold, settle, or disburse those funds. Monerixa does not currently deduct TDS on buyer-to-creator transactions, nor does it collect or remit GST on behalf of creators in relation to those direct on-chain payments. Creators receiving payments directly from buyers are solely responsible for determining their own tax obligations, including whether any registration, reporting, withholding, invoicing, or remittance requirements apply to them under Indian law or any other applicable law.

The Platform does not provide tax or legal advice. The characterization of transactions for tax purposes may depend on evolving law, regulation, guidance, and the specific facts of a transaction. You should consult a qualified tax professional regarding your obligations.

7. Creator Terms

7.1 Content Ownership and Licensing

You retain full ownership of all Content you upload. Monerixa does not own, acquire, or claim any ownership, intellectual property rights, or proprietary interest in your Content. By uploading Content, you grant Monerixa a limited, non-exclusive, worldwide, royalty-free license to store, process, cache, scan, moderate, display previews of, and deliver your Content to authorized Buyers as necessary to operate the Platform. This license terminates when the Content is deleted or removed from the Platform, except as necessary for the Platform to fulfill obligations to Buyers who purchased access before removal, comply with law, preserve security records, or enforce these Terms.

7.2 Creator Representations and Warranties

By uploading Content, you represent and warrant that:

  • You own or possess all necessary rights, licenses, consents, and permissions to upload, distribute, and sell the Content.
  • The Content does not infringe any third party's intellectual property rights, including copyrights, trademarks, patents, trade secrets, or rights of publicity.
  • The Content complies with our Content Policy and all applicable laws in your jurisdiction and India.
  • Titles and descriptions accurately represent the Content. Misleading, deceptive, or bait-and-switch descriptions constitute fraud and will result in Content removal and potential Wallet bans.
  • You are solely responsible for the Content you upload, publish, link to, distribute, or sell, including but not limited to any malware, viruses, ransomware, corrupted files, harmful code, device damage, data loss, harm, damage, loss, claim, dispute, or legal liability arising from that Content.

7.3 Creator Responsibility for Content

Creators, not Monerixa, are solely responsible and liable for all Content they upload, publish, link to, distribute, sell, describe, or otherwise make available through the Platform. Monerixa is not responsible or liable for Creator Content, including its legality, accuracy, safety, quality, usefulness, originality, availability, compliance, or fitness for any purpose. Any claims, damages, losses, injuries, disputes, costs, expenses, or liabilities arising from uploaded, purchased, downloaded, opened, viewed, used, or relied-upon Content are the sole responsibility of the Creator who provided that Content, including but not limited to where the Content contains malware, viruses, ransomware, corrupted files, harmful code, phishing links, unsafe instructions, or anything that damages a device, system, network, account, wallet, file, or data, except to the extent prohibited by applicable law.

Creators are solely responsible for deciding what to upload, ensuring they have the legal right to upload and sell it, accurately describing it, maintaining any external links, honoring any rights or licenses they grant to Buyers, and complying with all applicable laws, regulations, and third-party rights. Monerixa may host, scan, moderate, remove, or restrict Content, but doing so does not make Monerixa the publisher, owner, guarantor, seller, or legal controller of that Content.

As between Monerixa, the Creator, and the Buyer, the Creator is the seller of record for the Content and is solely responsible for the commercial offer made to Buyers, including the accuracy of the listing, the existence and deliverability of the promised Content, any disclosures, and any representations or warranties made about the Content.

Creators are solely responsible for handling buyer communications relating to their Content and for resolving any complaints they choose to address directly. Monerixa may review reports, remove or restrict Content, or ban Wallets for policy violations, but Monerixa does not assume the Creator's seller obligations by taking any such enforcement action.

7.4 Creator Payments

Creators receive payments directly from Buyers via Peer-to-Peer Transactions on the Solana blockchain. The Platform does not collect, hold, or distribute these funds. Payments are delivered directly to the Creator's Wallet upon on-chain confirmation. The Platform makes no guarantee regarding the timing, amount, or continuity of sales.

7.5 Creator Tax Obligations

Creators are solely responsible for determining and complying with all tax obligations arising from their sales through the Platform, including but not limited to income tax, GST, TDS, VAT, and any other applicable taxes in their jurisdiction. Because payments are peer-to-peer and the Platform does not act as an intermediary, the Platform does not issue tax documents, deduct taxes, or provide tax reporting on behalf of Creators. Creators should consult a qualified tax professional.

7.6 Pricing

Creators set prices for Content in USDC. The minimum price is $0.50 USDC. The Platform charges a flat 5% commission — 95% of the sale price is transferred to the Creator's Wallet on-chain and 5% to the Platform Wallet, in the same Transaction. Prices may be modified at any time via the Dashboard; price changes do not affect existing purchases.

7.7 Content Retention and Availability

Paywalls do not have a creator-selected expiration date. A Paywall remains available on the Platform while it is listed and complies with Platform rules, subject to inactivity-based removal under the Platform's retention system. The applicable retention period may be set by the Platform's global rules or, where applicable, by a plan-based retention period stamped onto the Content at upload. A later plan downgrade or lapse does not retroactively shorten retention already applied to existing Content.

Buyers who complete a valid purchase receive continuing re-download rights through the Platform for at least the applicable retention period measured from their purchase, subject to Platform availability, compliance actions, and these Terms. Any files previously downloaded remain in the Buyer's possession.

7.8 Content Deletion and Buyer Protection

Creators may delete Content at any time via the Dashboard, subject to a buyer protection window: if any Buyer has completed a purchase within the preceding 24 hours, deletion is temporarily blocked. This ensures Buyers have adequate time to download Content they have paid for. Once deleted, Content is permanently removed and associated files are deleted from storage when no other Paywall references them.

8. Buyer Terms

8.1 Payment Finality

All payments are final and non-refundable. The Platform may supply payment instructions or an unsigned transaction payload, but the Transaction is presented to, signed by, and broadcast from your Wallet. You are solely responsible for verifying all transaction details (including the recipient wallet address, payment amount, and content description) before signing. Because Transactions occur directly on the Solana blockchain, the Platform has no ability to reverse, cancel, or refund any payment once it has been confirmed on-chain. 8.2 Access Rights

Upon successful payment, you receive a non-exclusive, non-transferable, non-sublicensable, personal license to access and download the Content through the Platform during the period that the Content remains available under the Platform's retention and access rules. This license does not grant ownership of the Content. All intellectual property rights in the Content remain with the Creator.

8.3 Prohibited Buyer Actions

  • Unauthorized reproduction, redistribution, resale, sublicensing, or public display of purchased Content is strictly prohibited and may result in legal action by the Creator.
  • Sharing download tokens, access tokens, or authentication credentials with third parties.
  • Using automated tools, scripts, or bots to download, replicate, or mass-access Content.
  • Initiating chargebacks or payment reversals through external channels for on-chain Transactions.
  • Attempting to reverse-engineer the Platform's access control mechanisms.

8.4 Download Mechanism

For connected-wallet buyers, downloads require a fresh Wallet signature each time. The Platform issues a short-lived download token after verifying your Wallet signature and confirming your payment record. There is no permanent or shareable download URL. For QR-based buyers (walletless checkout), the initial download may use the access token delivered at the time of payment; subsequent re-downloads require connecting the wallet that made the on-chain payment.

8.5 QR Code Payment Terms

The Platform offers a QR code payment option that allows buyers to pay from a Solana mobile wallet (Phantom or Solflare only) without connecting a wallet to the Monerixa website. By using the QR payment option, you acknowledge and accept the following:

  • One payment only. Scanning and approving the QR code more than once will result in multiple on-chain payments. Each payment is final. The Platform grants access after the first confirmed payment; any additional payment for the same content from the same wallet is non-refundable. Wait for the page to confirm access before taking any further action.
  • Do not pay after QR expiry without checking. If the QR code appears to expire before your payment was confirmed, the Platform's background payment watcher may still process your payment. Keep the page open for at least two minutes and visit /recover before attempting a second payment.
  • Supported wallets only. Only Phantom and Solflare correctly process Monerixa QR payments. Payments made from unsupported wallets are on-chain and final but cannot be verified by the Platform. No access will be granted, and Monerixa is not obligated to provide any recovery, credit, compensation, or other relief.
  • Wallet binding. The wallet that makes the on-chain payment is permanently and irrevocably bound to that purchase. The Platform does not support reassignment of a purchase to a different wallet address.
  • Re-access. Once the browser session ends, re-accessing purchased content requires connecting the wallet that made the original payment to the Platform. The temporary browser-local claim token used during the original purchase session cannot be recovered after the session ends.

8.6 Content Disputes

The Platform does not mediate disputes between Creators and Buyers regarding quality, accuracy, completeness, safety, legality, usefulness, or fitness of Content. Buyers acknowledge they are purchasing access to Content as described and provided by the Creator. Monerixa does not own, create, verify, endorse, guarantee, or assume responsibility for Creator Content, and Monerixa is not liable for damages, losses, injuries, disputes, or claims arising from Content that is uploaded, purchased, downloaded, opened, viewed, used, or relied upon, including but not limited to Content containing malware, viruses, ransomware, corrupted files, harmful code, phishing links, or other material that damages a device, system, network, account, wallet, file, or data. If you believe Content is fraudulent, misleading, illegal, or violates our Content Policy, you may submit a report through the Platform's reporting mechanism.

9. Content and Intellectual Property

9.1 Creator Content Ownership

Creators retain all ownership rights in and to their Content. Content remains the Creator's Content. The Platform does not claim any ownership, intellectual property rights, or proprietary interest in Creator Content. The limited license granted in Section 8.1 is solely for the purpose of operating the Platform, enforcing policies, and delivering Content to authorized Buyers.

9.2 Buyer License

Upon purchase, Buyers receive a limited, non-exclusive, non-transferable, non-sublicensable, personal license to access the Content for personal use only while access remains available under the Platform's retention and access rules. No other rights are granted. This license does not permit commercial use, redistribution, public performance, or creation of derivative works unless the Creator has explicitly granted such rights.

9.3 Unauthorized Redistribution Prohibited

Unauthorized reproduction, distribution, public display, public performance, resale, sublicensing, or commercial exploitation of purchased Content is strictly prohibited. Violations may result in enforcement action by the Creator, the Platform, or both, and may give rise to civil and criminal liability under applicable copyright laws.

9.4 Platform Property

The Platform, including its design, logo, branding, software, source code, algorithms, user interface, and documentation, is the exclusive property of Monerixa and is protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works of any part of the Platform without express written permission.

9.5 Content Moderation

The Platform employs automated and manual content moderation. We may take enforcement actions including content hiding, permanent removal, and Wallet bans at our sole discretion. 10. Prohibited Use

You agree not to engage in any of the following conduct:

  • Uploading, distributing, or facilitating the distribution of any Content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Uploading child sexual abuse material (CSAM). This is a zero-tolerance policy and will be reported to appropriate law enforcement authorities including NCMEC.
  • Uploading sexually explicit, pornographic, or graphic nude content of any kind.
  • Uploading malware, viruses, trojans, ransomware, or any other malicious software or code.
  • Infringing upon or misappropriating any third party's intellectual property rights.
  • Impersonating any person or entity, or falsely claiming affiliation with any person or entity.
  • Attempting to manipulate, replay, forge, or tamper with payment Transactions, Wallet signatures, or access tokens.
  • Exploiting, probing, or testing the vulnerability of the Platform, or circumventing any security or authentication measures.
  • Using the Platform to facilitate money laundering, terrorist financing, sanctions evasion, fraud, or any other financial crime.
  • Circumventing rate limits, upload quotas, storage quotas, Creation Fee requirements, plan gates, or other anti-spam measures.
  • Creating multiple Wallets or identities to evade bans, restrictions, or enforcement actions.
  • Interfering with or disrupting the Platform's infrastructure, servers, or networks.
  • Scraping, crawling, or collecting data from the Platform through automated means without express written permission.
  • Accessing the Platform from jurisdictions where such access is prohibited by applicable law.
  • Encouraging or facilitating others to engage in any of the foregoing prohibited conduct.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE PLATFORM IS NOT A FINANCIAL INSTITUTION, PAYMENT PROCESSOR, MONEY SERVICES BUSINESS, ESCROW SERVICE, OR CUSTODIAN. THE PLATFORM DOES NOT PROVIDE FINANCIAL, LEGAL, TAX, OR INVESTMENT ADVICE.

Without limiting the foregoing, the Platform makes no warranty or representation that:

  • The Platform will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components.
  • Content uploaded by Creators will be of any particular quality, accuracy, legality, or fitness for any purpose.
  • The Solana blockchain, USDC, or any Wallet provider will function as expected or remain available.
  • Your Content will not be lost, corrupted, or accessed by unauthorized parties despite our security measures.
  • Any defects or errors in the Platform will be corrected.

Creator Content is user-generated. Monerixa does not create, own, endorse, verify, guarantee, or assume responsibility for Creator Content. Any use of, reliance on, purchase of, download of, or interaction with Creator Content is at the user's own risk, and responsibility for the Content remains with the Creator who uploaded or provided it.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MONERIXA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE.

Without limiting the foregoing, the Platform is not liable for losses resulting from:

  • Blockchain network failures, congestion, forks, outages, or consensus changes on the Solana blockchain.
  • Wallet compromises, private key theft, phishing attacks, or unauthorized access to your Wallet.
  • User errors in transactions, including incorrect recipient addresses or payment amounts.
  • USDC depegging or fluctuation in the value of any cryptocurrency.
  • Content disputes between Creators and Buyers, including disputes regarding quality, accuracy, or fitness.
  • Any Content uploaded, published, linked to, distributed, sold, purchased, downloaded, opened, viewed, used, or relied upon through the Platform, including but not limited to any damages or claims that such Content is illegal, infringing, unsafe, harmful, defective, misleading, unavailable, corrupted, infected, inaccurate, contains malware, viruses, ransomware, harmful code, phishing links, or causes device damage, account compromise, wallet compromise, network damage, file corruption, or data loss.
  • Tax obligations, penalties, or claims arising from your failure to comply with applicable tax laws.
  • Regulatory actions, sanctions, or legal proceedings in any jurisdiction affecting your ability to use the Platform.
  • Data loss due to server failures, security breaches, or natural disasters.
  • Any enforcement actions taken by the Platform in good faith, including Content removal and Wallet bans.

MONERIXA IS NOT LIABLE OR RESPONSIBLE FOR CREATOR CONTENT OR FOR ANY DAMAGES, LOSSES, CLAIMS, DISPUTES, INJURIES, COSTS, OR EXPENSES ARISING FROM CONTENT UPLOADED BY CREATORS OR CONTENT PURCHASED, DOWNLOADED, OPENED, VIEWED, USED, OR RELIED UPON BY BUYERS, INCLUDING BUT NOT LIMITED TO MALWARE, VIRUSES, RANSOMWARE, HARMFUL CODE, DEVICE DAMAGE, ACCOUNT OR WALLET COMPROMISE, FILE CORRUPTION, OR DATA LOSS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONERIXA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF CREATION FEES ACTUALLY RECEIVED BY MONERIXA FROM YOUR WALLET IN THE TWELVE (12) MONTHS PRECEDING THE DATE OF THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Monerixa, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) any Content you upload or distribute through the Platform; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right; (e) any dispute between you and another user of the Platform; (f) any claim that your Content caused damage to a third party; or (g) any tax liability, penalty, or claim arising from your use of the Platform, including failure to report or remit applicable taxes.

14. Dispute Resolution and Jurisdiction

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

15.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India, except as provided in Section 15.4 below.

15.3 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice.

15.4 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, as amended. The seat of arbitration shall be Noida, Uttar Pradesh, India. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

15.5 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST MONERIXA.

15.6 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

15. Termination

16.1 Termination by You

You may cease using the Platform at any time by disconnecting your Wallet. No formal account closure process is required. Active Paywalls may remain listed until deleted, removed, or otherwise retired under the Platform's retention and enforcement rules. You remain bound by these Terms with respect to any Content uploaded and any Transactions completed prior to termination.

16.2 Termination by Us

We may, at our sole discretion and without prior notice, ban your Wallet, remove your Content, restrict your access, or take any other enforcement action if we reasonably believe you have violated these Terms, our Content Policy, or any applicable law.

16.3 Effect of Termination

  • Funds already transferred on-chain are unaffected by termination. The Platform cannot reverse or claw back on-chain payments.
  • Sections that by their nature should survive termination (Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law) shall survive and remain in full force and effect.

16. General Provisions

17.1 Force Majeure

The Platform shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics, war, government actions, sanctions, power failures, internet outages, blockchain network failures or forks, cyberattacks, or third-party service disruptions.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid. If such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

The failure of the Platform to enforce any provision of these Terms shall not constitute a waiver of that provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Monerixa.

17.4 Entire Agreement

These Terms, together with the Privacy Policy, Content Policy, Refund Policy, and DMCA Policy, constitute the entire agreement between you and Monerixa and supersede all prior or contemporaneous communications, proposals, and understandings regarding the Platform.

17.5 Assignment

You may not assign your rights or obligations under these Terms without prior written consent of Monerixa. Monerixa may assign its rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

17.6 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be indicated by updating the "Last updated" date. Your continued use of the Platform after posting of revised Terms constitutes your binding acceptance of such revised Terms. It is your responsibility to review these Terms periodically.
